Terms of Service

These Terms of Service ("Terms") govern access to and use of Flow Agenda, a time tracking, scheduling, client billing, and payroll application (the "Service") operated by Jordan Nelson, doing business as Nelson Development ("we," "us," or "our"). Nelson Development is a trade name under which Flow Agenda is operated as a sole proprietorship, not a separately incorporated company — these Terms are a legal agreement between you and Jordan Nelson individually. By creating an account or using the Service, you agree to these Terms on behalf of yourself and, if applicable, the business you represent (the "Customer").

1. The Service

Flow Agenda lets a business track employee hours, schedule work, bill clients, and calculate payroll. Some features (a "Free" plan) are available at no cost within stated limits; additional features and higher limits are available on a paid "Pro" plan billed as described in Section 4.

You agree not to: use the Service for any unlawful purpose; attempt to gain unauthorized access to any account or system; interfere with or disrupt the Service; or use the Service to process data for a business you're not authorized to represent.

5. Your Data

As between you and us, you own the business, employee, client, and payroll data you enter into the Service. You grant us a license to host, process, and display that data solely to provide the Service to you. See our Privacy Policy for how we handle personal information.

6. Termination

You may stop using the Service at any time. We may suspend or terminate an account that violates these Terms, or that has an unpaid balance for longer than a reasonable grace period after notice. On termination, we may delete account data after a reasonable retention period.

7. Disclaimer of Warranties

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied. We don't guarantee the Service will be uninterrupted, error-free, or fit for a particular purpose. You're responsible for verifying that payroll and billing outputs are correct before relying on them for actual payments.

8. Limitation of Liability

To the fullest extent permitted by law, Nelson Development will not be liable for indirect, incidental, special, or consequential damages, or for lost profits or data, arising out of your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the 12 months before the claim arose.

9. Governing Law

These Terms are governed by the laws of the State of Oklahoma, without regard to its conflict-of-laws principles.

10. Changes to These Terms

We may update these Terms from time to time. If we make a material change, we'll notify account admins by email before it takes effect. Continued use of the Service after a change takes effect means you accept the updated Terms.
